These Terms & Conditions (“Terms”) govern all commercial cleaning services provided by Simply Clean
(“Company,” “Simply Clean,” “we,” “us”) to the client (“Client”). By executing a service agreement, proposal,
or authorizing services, Client agrees to these Terms in full.

 

1. Scope of Services
 

Services are performed in accordance with the agreed Scope of Work (“SOW”) for each facility, as documented
in proposals, service agreements, or Jobber records. Services may vary by facility type, including but not
limited to offices, light industrial facilities, restaurants/bars, and regulated or high-use environments.
Any services requested outside the agreed SOW require prior written approval and may result in additional
charges or a revised service agreement.
Service-Specific Addenda. Certain facilities, environments, or service types may require additional terms,
exclusions, or conditions beyond these Terms. Where applicable, such requirements will be set forth in one or
more service-specific addenda (“Addenda”). Any Addenda issued by Simply Clean and applicable to Client’s
services are hereby incorporated by reference and form an integral part of this agreement. In the event of a
conflict between these Terms and any applicable Addendum, the Addendum shall control solely with respect to
the services or facilities to which it applies.

 

2. Term & Termination
 

Services are scheduled and administered on an annual basis for operational and planning purposes. Either
party may terminate services at any time with thirty (30) days’ written notice.
Services will continue, and fees will remain payable, during the notice period. Termination does not relieve
Client of payment obligations incurred prior to the effective termination date.

 

3. Scheduling & Visit Cancellation
Client may cancel or reschedule an individual service visit with at least twenty-four (24) hours’ notice. Failure
to provide timely notice, inability to access the facility, or unsafe working conditions may result in a
cancellation charge or the full service fee for the scheduled visit.
This section applies to individual service visits and is separate from termination of services under Section 2.

 

4. Client Responsibilities
To allow services to be performed safely and efficiently, Client agrees to provide:
• Reasonable and safe access to all service areas
• Functioning utilities, including water, electricity, and adequate lighting
• Accurate representation of facility conditions and service requirements
• A work environment free from undisclosed hazards or unsafe conditions
• Removal or securement of fragile, high-value, or unique items prior to service; any claims for breakage
or loss must be reported within twenty-four (24) hours of service completion
• Notification of any specialized surfaces requiring specific cleaning products or procedures; any required
or preferred specialty products must be supplied by Client
• Fixtures and equipment presented for cleaning are assumed to be properly installed, sealed, and
maintained; Simply Clean is not responsible for damages resulting from improper installation or failure
of any item
Visibly broken or malfunctioning items will not be serviced. Any defects observed will be reported; however,
Simply Clean is not responsible for discovering hidden or latent defects.
Pricing is based on the condition of the facility as observed during initial walkthroughs. Material changes in
condition or use may require repricing or a change order.

 

5. Safety & Right to Refuse Service
Staff safety is a non-negotiable priority. Simply Clean reserves the right to suspend or refuse service if working
conditions are unsafe, misrepresented, or non-compliant with reasonable safety standards, including but not
limited to unsecured access, hostile or abusive behavior, malfunctioning utilities, or the presence of hazardous
materials.
For safety reasons:
• Simply Clean staff do not move items exceeding approximately thirty (30) pounds
• Simply Clean staff do not use ladders
• Areas requiring movement of heavy objects or elevated access must be prepared by Client prior to
service
Simply Clean is not responsible for cleaning products, procedures, or conditions created by other vendors or by
the Client outside the scope of Simply Clean’s services.

Services may remain billable if conditions preventing service were not disclosed in advance. Serious safety
incidents may be reported to appropriate authorities when necessary.

 

6. Excluded & Specialized Services
Unless expressly agreed to in writing, Simply Clean does not perform services involving:
• Biohazardous materials, bodily fluids, sharps, or regulated waste
• Excessive grease buildup beyond standard janitorial maintenance
• Hazardous materials as defined by OSHA, CDC, or applicable regulations
Specialized or regulated services require advance notice, written authorization, and separate pricing.

 

7. Quality Assurance & Remedy
If Client is dissatisfied with service quality, written notice must be provided to Simply Clean management
within twenty-four (24) hours of service completion.
Upon timely notice, Simply Clean will re-clean the affected areas at no additional charge. Credits or pricing
adjustments may be considered at management’s discretion. Simply Clean is not responsible for issues resulting
from inaccessible areas, lack of utilities, conditions created after service, or factors outside its control.

 

8. Damage Claims & Limitation of Liability
Any claims for property damage or loss must be reported in writing within twenty-four (24) hours of service.
To the fullest extent permitted by law:
• Simply Clean is not liable for indirect, incidental, or consequential damages
• Liability is limited to the fees paid by Client for services during the three (3) months preceding the
event giving rise to the claim
• Items that are fragile, irreplaceable, high-value, or not disclosed as specialized surfaces are excluded
from coverage unless otherwise agreed in writing
• This limitation does not apply to damages resulting from gross negligence
Client agrees to take reasonable steps to mitigate damages.

 

9. Insurance

Simply Clean maintains commercial general liability insurance and workers’ compensation coverage in
accordance with industry standards. Certificates of Insurance are available upon request. Insurance coverage
does not expand or modify contractual liability under these Terms.

 

10. Keys, Access Codes & Security
Client may provide keys, fobs, access cards, alarm codes, or approve the use of lockboxes for facility access.
Simply Clean agrees to keep all access materials confidential and secure.
Replacement or locksmith costs will be covered only if loss or damage is directly caused by Simply Clean.

 

11. Payment Terms
Invoices are issued monthly on the 15th and are payable Net 15 unless otherwise agreed in writing.
Past-due balances are subject to a late charge of 1.5% per month (18% APR), or the maximum rate
permitted by law, whichever is less, accruing monthly until paid. Client is responsible for reasonable
collection costs incurred to recover unpaid balances.
Simply Clean reserves the right to suspend services for non-payment following written notice. Missed visits
during suspension remain billable.

 

12. Non-Solicitation of Personnel
During the term of service and for twelve (12) months following termination, Client shall not directly or
indirectly hire, contract with, or solicit Simply Clean personnel who provided services to Client, except with
Simply Clean’s written consent.
Violation of this provision will result in a conversion fee consistent with industry standards to compensate for
recruiting, training, and operational investment.

 

13. Weather, Holidays & Force Majeure
Simply Clean does not guarantee service during severe weather, emergencies, or events beyond its reasonable
control. Holiday service is not provided unless expressly agreed to in writing.

 

14. Miscellaneous
• Governing Law: State of Wisconsin
• Entire Agreement: These Terms constitute the entire agreement regarding services

• Severability: If any provision is unenforceable, remaining provisions remain in effect
• Modifications: Any changes must be made in writing and approved by Simply Clean management

This Regulated & Medical Environment Cleaning Addendum (“Addendum”) supplements and forms part of the
Simply Clean – Commercial Services Terms & Conditions v1.1 (“Master Terms”). This Addendum applies
solely to facilities operating in regulated, healthcare-adjacent, or compliance-sensitive environments.
In the event of a conflict between this Addendum and the Master Terms, this Addendum shall control only
with respect to the services and facilities described herein.

 

1. Scope of Applicability
This Addendum applies to non-clinical and support areas within regulated or healthcare-related facilities,
including but not limited to:
• Medical offices and clinics (non-treatment areas)
• Dental offices and specialty practices
• Physical therapy and rehabilitation facilities
• Laboratories (administrative and common areas only)
• Assisted living and long-term care common areas (non-resident rooms unless expressly agreed)
Services are limited strictly to janitorial cleaning as defined in the agreed Scope of Work (“SOW”). Simply
Clean does not provide clinical cleaning, disinfection services governed by healthcare regulations, or
medical waste handling unless expressly stated in writing.

 

2. Regulatory Boundaries & Compliance
Client acknowledges that regulated environments are subject to heightened compliance standards, including but
not limited to HIPAA, OSHA, CDC, state health department regulations, and internal facility protocols.
• Simply Clean’s services are non-clinical and do not replace or supplement regulated sanitation or
infection-control programs
• Compliance with facility-specific protocols must be disclosed prior to service

• Simply Clean staff will not perform tasks requiring licensed, certified, or medically trained personnel
unless expressly agreed
Nothing in this Addendum shall be interpreted as an assumption of regulatory or clinical responsibility by
Simply Clean.

 

3. Disinfection, Sanitization & Expectations
Unless expressly contracted in writing:
• Services do not include medical-grade disinfection or sterilization
• Cleaning does not guarantee elimination of pathogens, bacteria, or viruses
• Products and procedures are selected for janitorial use, not clinical outcomes
Client acknowledges that janitorial cleaning supports general cleanliness but is not a substitute for infection
prevention programs.

 

4. Biohazards, Pest Conditions & Medical Waste
Simply Clean does not handle, transport, or dispose of:
• Biohazardous or infectious waste
• Sharps, needles, or medical instruments
• Bloodborne pathogens or contaminated materials
• Excessive pest infestation cleanup or pest-related remediation
Client is responsible for maintaining routine pest control services. Discovery of biohazardous, medical waste, or
excessive pest-related conditions will result in immediate suspension of service in affected areas. Proper
containment and removal remain Client’s responsibility unless otherwise agreed in writing.

 

5. Access Control, Privacy & Confidentiality
Regulated environments often require controlled access and privacy protections.
• Client must ensure access permissions align with scheduled services and communicate any access
changes, scheduling constraints, or construction activity in advance
• Simply Clean staff will not access restricted or patient-care areas unless expressly authorized in writing
• Simply Clean maintains internal confidentiality standards but does not assume HIPAA-covered entity or
business associate obligations unless expressly agreed in writing

 

6. Equipment, Fixtures & Sensitive Surfaces
• All fixtures and equipment are assumed to be properly installed and safe to service
• Sensitive medical devices, instruments, or calibrated equipment are excluded from cleaning
• Client must identify specialized surfaces requiring specific products or procedures
Simply Clean is not responsible for damage arising from improper installation, calibration issues, or undisclosed
sensitivities.

 

7. Safety, Exposure & Staff Protection
Client acknowledges potential exposure risks inherent to regulated environments.
• Client must disclose known exposure risks, hazardous materials, or hazardous conditions prior to service
• Simply Clean reserves the right to suspend or refuse service where staff safety may be compromised due
to hazardous materials or conditions
• Missed or suspended visits due to undisclosed risks or unsafe conditions may remain billable

8. Acknowledgment
By authorizing services in a regulated or medical environment, Client acknowledges the limitations and
boundaries of janitorial cleaning services and agrees to the additional terms set forth in this Addendum.
All other provisions of the Master Terms remain in full force and effect.

This Light Industrial Facility Cleaning Addendum (“Addendum”) supplements and forms part of the Simply
Clean – Commercial Services Terms & Conditions v1.1 (“Master Terms”). This Addendum applies solely to
facilities operating as light industrial, manufacturing-adjacent, warehouse, production, distribution, or similar
environments.
In the event of a conflict between this Addendum and the Master Terms, this Addendum shall control only
with respect to the services and facilities described herein.

 

1. Scope of Applicability
This Addendum applies to facilities characterized by production activity, equipment presence, material
handling, or elevated soil conditions, including but not limited to:
• Light manufacturing and production areas
• Warehouses and distribution centers
• Assembly, fabrication, or packaging spaces
• Ancillary areas such as offices, break rooms, and restrooms within industrial facilities
Services are limited to janitorial cleaning as defined in the agreed Scope of Work (“SOW”). This Addendum
does not expand Simply Clean’s scope into industrial maintenance, equipment servicing, environmental
remediation, or regulated industrial cleaning unless expressly stated in writing.

 

2. Access, Operations & Coordination
Industrial facilities often operate under active production schedules, controlled-access protocols, and shifting
operational conditions. Client is responsible for coordinating access, defining safe work zones, and
communicating any scheduling constraints, shutdowns, or construction activities in advance.
• Cleaning will be performed only in designated and approved areas
• Restricted zones, active machinery areas, and production lines are excluded unless expressly authorized
in writing

• Delays, shutdowns, or access restrictions may result in shortened service, rescheduling, or billable visits
in accordance with the Master Terms
Simply Clean does not guarantee completion of service if access is limited, delayed, or revoked due to
operational or safety conditions.

 

3. Safety, Hazards & Compliance Boundaries
Client acknowledges the presence of industrial hazards, including but not limited to machinery, electrical
systems, chemicals, oils, and materials.
• Client must disclose known hazards, hazardous materials, or hazardous conditions and applicable safety
requirements prior to service
• Simply Clean staff will not service areas requiring specialized certifications, lockout/tagout procedures,
confined space entry, or PPE beyond standard janitorial use unless expressly agreed in writing
Simply Clean reserves the right to suspend or refuse service in any area deemed unsafe due to hazardous
materials or conditions.

 

4. Equipment, Machinery & Fixed Installations
• All machinery, racks, fixtures, and equipment are assumed to be properly installed and secured
• Simply Clean does not clean, move, service, or reach into machinery or equipment
• Areas beneath, behind, or within machinery are excluded unless cleared and made accessible by Client
Simply Clean is not responsible for damage arising from vibration, improper installation, pre-existing defects,
or equipment malfunction.

 

5. Floors, Soil Load & Condition-Based Pricing
Industrial environments generate elevated soil loads, including dust, debris, oils, and residues.
• Pricing is based on observed conditions during onboarding and periodic review
• Conditions that materially exceed the agreed Scope of Work may require repricing, a change order, or
additional charges in accordance with the Master Terms
• Simply Clean does not perform oil remediation, chemical cleanup, or specialized floor restoration unless
expressly contracted
Routine janitorial cleaning does not guarantee complete removal of industrial staining or residue.

 

6. Waste, Materials, Pest Conditions & Exclusions
Unless expressly agreed in writing, Simply Clean does not handle:
• Hazardous waste, chemicals, or industrial byproducts
• Scrap materials, pallets, or production waste
• Sharps, regulated waste, or materials requiring special disposal procedures
• Excessive pest infestation cleanup or pest-related remediation
Client is responsible for maintaining routine pest control services and for proper containment and disposal of all
industrial waste.

 

7. Damage, Wear & Environmental Conditions
Industrial facilities experience accelerated wear due to production activity, traffic, and environmental factors.
• Simply Clean is not responsible for pre-existing damage, surface wear, or material degradation
• Environmental conditions such as dust migration or airborne residue are outside Simply Clean’s control
Quality assessments are based on reasonable janitorial standards for industrial environments.

 

8. Acknowledgment
By authorizing services for a light industrial facility, Client acknowledges the operational complexity and
elevated risk profile of such environments and agrees to the additional terms set forth in this Addendum.
All other provisions of the Master Terms remain in full force and effect.

This Restaurant & Bar Cleaning Addendum (“Addendum”) supplements and forms part of the Simply Clean –
Commercial Services Terms & Conditions v1.1 (“Master Terms”). This Addendum applies solely to facilities
operating as restaurants, bars, taverns, breweries, nightclubs, or similar food-and-beverage establishments.
In the event of a conflict between this Addendum and the Master Terms, this Addendum shall control only
with respect to the services and facilities described herein.

 

1. Scope of Applicability
This Addendum applies to all food-and-beverage service environments, including but not limited to:
• Restaurants and cafés
• Bars, taverns, and nightclubs
• Breweries and taprooms
• Facilities with late-night or variable closing times
Services are limited to janitorial cleaning as defined in the agreed Scope of Work (“SOW”). This Addendum
does not expand Simply Clean’s scope into regulated food-handling, kitchen sanitation, or health-department–
mandated services unless expressly stated in writing.

 

2. Variable Closing Times & Access
Client acknowledges that restaurants and bars often operate with non-fixed or variable closing times. Cleaning
services are scheduled based on anticipated access windows provided by Client.
• Delays in access may result in shortened service, rescheduling, or additional charges as permitted under
the Master Terms
• Excessive wait times or denied access may render the visit billable
• Simply Clean does not guarantee completion of service if access is not provided within a reasonable
timeframe

Client is responsible for ensuring staff coordination, lock-up procedures, alarm status, and timely
communication of any scheduling or access changes that may impact scheduled service windows.

 

3. Grease, Soil Load & Condition-Based Pricing
Restaurants and bars inherently generate elevated grease, soil, and residue levels, particularly in kitchens, prep
areas, bars, and restrooms.
• Pricing is based on observed conditions at onboarding and periodic review
• Conditions that materially exceed the agreed Scope of Work may require repricing, a change order, or
additional charges in accordance with the Master Terms
• Simply Clean does not perform degreasing, hood cleaning, or specialized grease remediation unless
expressly contracted
Failure to maintain baseline cleanliness between visits may impact service outcomes and pricing.

 

4. Biohazards, Pest Conditions & Excluded Services
Unless expressly authorized in writing, Simply Clean does not perform cleaning involving:
• Vomit, feces, urine, blood, or other bodily fluids
• Sharps, broken glass beyond routine disposal, or regulated waste
• Contaminated carpeting or porous surfaces affected by biohazards
• Excessive pest infestation cleanup or pest-related remediation

Client is responsible for maintaining routine pest control services. Discovery of biohazardous or excessive pest-
related conditions may result in immediate suspension of service for affected areas. Specialized cleanup requires

advance notice, separate authorization, and additional fees based on scope and severity.

 

5. Equipment, Fixtures & Furniture
• All fixtures are assumed to be properly installed, sealed, and safe to service
• Simply Clean does not move heavy equipment, coolers, bar fixtures, or appliances
• Areas behind or beneath fixed or heavy items are excluded unless made accessible by Client
Simply Clean is not responsible for damage resulting from improper installation, pre-existing defects, or
equipment malfunction.

 

6. Odors, Spills & Post-Service Conditions
Restaurants and bars are high-traffic environments subject to spills, odors, and rapid re-soiling.
• Simply Clean does not guarantee odor elimination
• Conditions created after service completion are outside Simply Clean’s control
• Quality assessments are based on conditions at time of service completion

 

7. Safety & Staff Protection
Late-night environments may involve intoxicated patrons, unsecured premises, or heightened safety risks.
• Client must ensure the facility is vacated or appropriately controlled during service
• Aggressive behavior, harassment, or unsafe conditions—including the presence of hazardous materials
or conditions—will result in immediate service suspension
• Missed or suspended visits under such conditions may remain billable

8. Acknowledgment
By authorizing services for a restaurant or bar facility, Client acknowledges the unique challenges associated
with food-and-beverage environments and agrees to the additional terms set forth in this Addendum.
All other provisions of the Master Terms remain in full force and effect.

1. Scope of Applicability
This Addendum applies to facilities and service schedules that include one or more of the following:
After-hours, overnight, or early-morning cleaning
• Variable or non-fixed closing times
• Access dependent on staff availability, events, or tenant activity
• Facilities secured by alarms, lock-up procedures, or controlled entry systems
Services remain limited to janitorial cleaning as defined in the agreed Scope of Work (“SOW”). This Addendum
does not expand Simply Clean’s scope into security services, building management, or access coordination
beyond reasonable cleaning-related requirements.

 

2. Access Windows & Coordination
Client is responsible for providing accurate anticipated access windows and ensuring access is available at the
scheduled service time.
• Access delays may result in shortened service, rescheduling, or additional charges in accordance with
the Master Terms
• Excessive wait times, denied entry, or repeated access issues may render the visit billable
• Simply Clean does not guarantee completion of service if access is not provided within a reasonable
timeframe
Client must communicate access changes, scheduling constraints, construction activity, or special coordination
requirements in advance and obtain approval from Simply Clean management.

 

3. Alarms, Lock-Up & Security Systems
Client must disclose all alarm systems, lock-up procedures, and security protocols applicable to the facility.

• Client is responsible for disabling alarms or providing valid and current access credentials for scheduled
services
• Simply Clean is not responsible for alarm activations, false alarms, or associated fees unless directly
caused by Simply Clean’s failure to follow disclosed procedures
• Lock-up responsibilities must be clearly defined in writing prior to service
Simply Clean does not assume responsibility for building security beyond reasonable cleaning access.

 

4. Delays, Wait Time & Billable Events
After-hours and variable access environments may involve unavoidable delays.
• Wait time beyond reasonable expectations may be billed at an hourly rate or result in full visit charges
• Repeated delays or access failures may require schedule adjustment or repricing
• Missed or shortened visits due to access issues may remain billable
These provisions exist to ensure fair allocation of labor and scheduling resources.

 

5. Safety & Staff Protection
After-hours service may present increased safety risks, including isolated environments, unsecured premises, or
unexpected third-party presence.
• Client must ensure premises are reasonably secured and safe at the time of service
• Hostile, unsafe, or suspicious conditions—including the presence of hazardous materials or hazardous
conditions—will result in immediate suspension of service
• Missed or suspended visits due to unsafe or undisclosed conditions may remain billable

6. Variable Conditions & Service Outcomes
Conditions at after-hours facilities may change rapidly due to late operations, events, or tenant activity.
• Service outcomes are based on conditions present at time of access
• Simply Clean is not responsible for conditions created after service completion
• Quality assessments account for reasonable limitations inherent to variable access environments

 

7. Repeated Access Issues & Service Review
Persistent access challenges may trigger a service review.
• Simply Clean may require revised access procedures, schedule adjustments, or repricing
• Failure to resolve access issues may result in suspension or termination of services pursuant to the
Master Terms

 

8. Acknowledgment
By authorizing after-hours or variable access cleaning services, Client acknowledges the operational challenges
associated with such environments and agrees to the additional terms set forth in this Addendum.
All other provisions of the Master Terms remain in full force and effect.
